The main responsibilities of Anxi County Tea Association
Chapter I General Provisions
Article 1 The name of the Association is Anxi Tea Association, and the English name is Anxi Tea Association (FATA).
Article 2 This Association is a local non-profit organization voluntarily composed of legal persons and natural persons engaged in tea production, processing, circulation, scientific research, teaching, supervision and management in Anxi County and Anxi people.
Article 3 This Association is the link and bridge between the government and members, and between members and foreign trade and scientific research institutions in the county. With the aim of service, the domestic and foreign markets as the guide, and the principle of honest management, the Association strives to promote the close combination of science and technology with production, circulation and enterprise management, strive to improve the quality of tea in our county, build a brand, expand the domestic and foreign markets, promote the industrialized management of tea, provide services for enterprises, institutions and individuals in this industry, and safeguard this industry.
Article 4 This Association shall abide by the Constitution, laws and policies of the State and social morality. Accept the business guidance, supervision and management of Anxi County Civil Affairs Bureau and Anxi County Tea Industry Management Committee.
Article 5 The domicile of this Association is on the second floor of Block E, Tea Capital, China, Anxi County.
Chapter II Duties and Tasks
Article 6 The duties and tasks of this Association are:
(a) entrusted by the relevant government departments, in accordance with the laws of market economy, organize and coordinate tea planting, production, scientific research, circulation and other business activities in this county, and promote the industrialization of tea;
(two) according to the relevant rules of the World Trade Organization (WTO), in accordance with the principle of fair competition, formulate the "rules and regulations" that the industry will jointly abide by, create a fair and reasonable competitive environment for enterprises, and ensure the healthy and sustainable development of the industry;
(three) to strengthen the investigation and study of tea market at home and abroad, grasp the development situation and trend of tea industry at home and abroad, provide opinions and suggestions for the government to guide the adjustment of industrial structure, and participate in the preparation of tea industry development plan in our county;
(four) to study and discuss the new situation and existing problems in the tea industry (including production, processing, management, scientific research, etc.). ), and timely put forward opinions and suggestions to the relevant departments of the county government to formulate industry policies;
(five) to carry out publicity on the quality certification, technical standards, packaging, labeling, hygiene, environmental protection and other relevant rules of the tea industry in response to China's accession to the WTO, to help enterprises solve the import and export disputes of tea products in accordance with WTO dispute settlement rules and procedures, and to safeguard the interests of enterprises and tea farmers in our county;
(six) to participate in the formulation and revision of various industry standards, organize the publicity and implementation activities of relevant standards, carry out business quality inspection and evaluation, accept the entrustment of enterprises, and guide and help enterprises to improve their production, operation and management level;
(seven) to organize, coordinate and strengthen the horizontal links among members, and promote various forms of cooperation and horizontal economic union in the industry;
(eight) to organize the collection, collation and transmission of tea economic information at home and abroad, market analysis and prediction, information exchange and consulting services, and provide decision-making basis for the production and operation of enterprises;
(nine) to carry out professional technical skills and enterprise management training, organize technical exchange technical skills competitions, popularize and apply technical achievements, and improve the production technology level of the industry;
(10) Give full play to the advantages of tea resources in our county, build brand products, popularize tea commodity knowledge, publicize the drinking value of tea, promote Anxi tea art and tea culture, and carry out tea culture exchange activities at home and abroad;
(eleven) to help enterprises to carry out publicity and promotion, through exhibitions, exhibitions, lectures, printing and distributing promotional materials, writing books and other activities, to improve the reputation of tea business enterprises and tea products in society, expand social visibility, and improve the market share of Anxi tea;
(twelve) to strengthen contact with the same industry organizations at home and abroad, and organize various exchange activities between domestic and foreign tea business enterprises;
(thirteen) the association shall formulate specific implementation rules according to the above requirements.
Chapter III Members
Article 7 Members of this Association are divided into group members and individual members.
Article 8 Members who apply to join the association must support the articles of association, have the will to join the association, and have certain influence in the tea industry in Anxi County.
(1) Team members:
Enterprises, institutions and related social organizations with legal personality engaged in tea-related industries can apply to become group members;
(2) Individual members:
Anyone who is directly engaged in tea planting, production, processing, management, scientific research, tea machinery, tea packaging and other tea-related industries and teaching staff can apply to become individual members.
Article 9 The procedures for joining the club are as follows:
(1) submitting an application for membership;
(2) discussed and adopted by the Council;
(3) The Council authorized the secretariat of the Association to issue membership cards.
Article 10 Members shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) to participate in the activities of the association;
(3) Giving priority to the information and other services provided by this Association;
(four) have the right to criticize, suggest and supervise the work of this association;
(5) Introducing and recommending new members;
(6) Freedom to join and quit voluntarily.
Article 11 Members shall perform the following obligations:
(1) Abide by the articles of association of this Association and implement the resolutions of this Association;
(two) to safeguard the legitimate rights and interests of this association;
(three) to complete the work assigned by the association;
(four) to pay membership fees in accordance with the provisions;
(five) actively participate in the activities organized by the association and exchange ideas in a timely manner.
Feeding and providing relevant information.
Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to pay the membership fee or participate in the activities of the association for one year, it will be deemed as automatic withdrawal; Members deprived of political rights according to law will naturally be disqualified.
Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the members' congress, and its functions and powers are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(4) Deciding to terminate.
(five) to discuss and decide the work plan and financial budget of the Association;
(six) to decide on other major issues.
Fifteenth members' congress must be attended by more than two thirds of the members (or members' representatives), and its resolutions must be attended by more than half of the members' representatives to take effect.
Article 16 The general meeting of members shall be held every five years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the board of directors, reported to the competent business unit for review, and approved by the association registration authority. However, the longest extension or early transition shall not exceed one year.
Article 17 The Council and the Standing Council are the executive bodies of the general assembly, leading the association to carry out its daily work during the intersessional period and being responsible to the general assembly.
Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the president, vice president and secretary general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb or recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) to decide the appointment and removal of the Deputy Secretary General and the principal responsible persons of various institutions;
(eight) to lead the institutions of the Association to carry out their work;
(nine) to formulate internal management system;
(ten) to formulate the work plan of the association and organize its implementation;
(eleven) to decide on rewards and punishments for members;
(twelve) to decide on other major issues.
Article 19 A meeting of the board of directors shall be held only when more than two thirds of the directors are present, and its resolutions shall take effect only after being voted by more than two thirds of the directors present.
Article 20 The Council shall meet at least once a year; In case of special circumstances, it can also be held in the form of communication.
Article 21 The Association shall establish a standing council. The Standing Council is elected by the Council, and exercises the functions and powers of Article 18, items 1, 3, 5, 6, 7, 8, 9, 10,1,when the Council is not in session, and is responsible to the Council.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall meet at least once every six months; In case of special circumstances, communication can also be held.
Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(two) enthusiastic about the work of the tea industry, which has a great influence in the tea industry;
(3) Being in good health and able to stick to normal work;
(4) Having not been subjected to criminal punishment of deprivation of political rights;
(5) Having full capacity for civil conduct.
Article 25 The term of office of the President, Vice-President and Secretary-General of this Association is five years.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association shall not exceed two terms.
Article 27 The president of this Association is the legal representative of this Association.
Article 28 The President of this Association shall exercise the following functions and powers:
(a) to convene and preside over the Council (or the Standing Council);
(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;
(3) Signing relevant documents on behalf of the Association.
Article 29 The Secretary-General of this Association shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches and representative offices;
(3) Nominating the Deputy Secretary-General and the principals of offices, branches and representative offices, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff in offices and representative offices;
(5) Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Article 30 The source of funds of the Association: membership fees; Donation; Government funding; Income from activities or services provided within the approved business scope; Interest income; Other lawful income.
Article 31 the association collects membership fees in accordance with relevant state regulations.
Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 34 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Thirty-sixth before the association changes or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent business unit of the association.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 38 The wages of the full-time staff of this Association shall be decided by the Standing Council.
Chapter VI Procedures for Amending the Articles of Association
Thirty-ninth amendments to the articles of association of this association must be approved by the Council and then submitted to the members' congress for deliberation and approval.
Article 40 The revised articles of association of this Association shall come into effect within 15 days after being approved by the members' congress, examined and approved by the competent business unit and reported to the association registration authority.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 41 If an association has completed its purpose or is dissolved by itself or needs to be revoked due to division or merger, the Council or the Standing Council shall propose a motion for termination.
Article 42 The motion to terminate this association must be voted by the members' congress and submitted to the competent business unit for examination and approval.
Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 44 this association shall be terminated after the cancellation of registration by the association registration authority.
Article 45 The remaining assets after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent business units and the registration and administration organs of associations in accordance with relevant state regulations.
Chapter VIII Supplementary Provisions
Article 46 The Articles of Association was adopted by the members' congress on August 6, 2004.
Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 48 The Articles of Association shall come into force as of the date of approval by the association registration authority.
